‍These Terms of Use govern your access to and use of cilar.ca, operated by CILAR (the Coalition of Innovation Leaders Advancing Respect), a nonprofit organization incorporated in Ontario, Canada. By accessing or using cilar.ca, you confirm that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated by reference into these terms. If you do not agree to these terms, please do not use this website. CILAR reserves the right to modify these Terms of Use at any time. Continued use of cilar.ca after changes are posted constitutes your acceptance of the updated terms.

‍CILAR is a national nonprofit platform that connects industry, government, educators, and communities to build inclusive pathways into Canada's innovation economy. cilar.ca is the organization's primary public-facing website, providing information about CILAR's programs, initiatives, partnerships, and resources. Nothing on cilar.ca constitutes a binding offer of employment, program enrollment, funding, or partnership unless confirmed in writing by an authorized representative of CILAR.

‍3. Permitted Use:
‍You may access and use cilar.ca for lawful purposes consistent with CILAR's mission. Permitted uses include:
Browsing and reading publicly available content
Submitting inquiries through contact forms
Downloading resources made available for public use
Sharing links to cilar.ca content on social media or other platformsMaking donations through our secure donation portal
Applying to or learning about CILAR programs

‍4. Prohibited Use:
‍You agree not to use cilar.ca in any way that:
Violates any applicable Canadian federal or Ontario provincial law or regulation
Infringes the intellectual property rights of CILAR or any third party

Uses cilar.ca in any way that could damage CILAR's reputation or undermine its mission

5.1 CILAR Content:
‍All content on cilar.ca, including but not limited to text, graphics, photographs, logos, program names, reports, playbooks, videos, and the CILAR name and brand identity, is the property of CILAR or its licensors and is protected by Canadian copyright law and applicable intellectual property legislation. You may not reproduce, distribute, modify, publicly display, or create derivative works from any content on cilar.ca without prior written permission from CILAR, except as expressly permitted under these terms or applicable law.

‍5.2 Fair Use and Permitted Sharing:
‍You may share links to cilar.ca pages and quote brief excerpts from CILAR content for non-commercial purposes, provided you attribute the content to CILAR and include a link to the original page. Any other use requires written permission from CILAR.

‍Donations made through cilar.ca are processed securely through our third-party payment processor. By making a donation, you confirm that:
You are the authorized account holder or have permission to use the payment method provided
The donation is voluntary and made without expectation of goods or services in return, except where a specific program or benefit is explicitly described
You understand that CILAR will use donations in support of its mission and programs

CILAR will issue tax receipts for eligible donations in accordance with Canada Revenue Agency guidelines applicable to nonprofit organizations. Please contact us at the address in Section 14 of the Privacy Policy if you require documentation of your donation. All donations are final. Refund requests will be considered on a case-by-case basis at the sole discretion of CILAR.

‍cilar.ca may contain links to third-party websites and may embed content from platforms including LinkedIn and Google. These links and embeds are provided for convenience and informational purposes only. ‍To the fullest extent permitted by applicable law, CILAR, its directors, officers, employees, volunteers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use cilar.ca, even if CILAR has been advised of the possibility of such damages. In no event shall CILAR's total liability to you for all claims arising out of or related to your use of cilar.ca exceed the total amount you have donated to CILAR in the twelve months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent such limitations are not permitted by applicable law in Ontario or under federal Canadian legislation, the foregoing limitations may not apply to you.

‍These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.Any dispute arising out of or relating to these Terms of Use or your use of cilar.ca shall first be addressed through good-faith negotiation between you and CILAR. If a dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada.

‍If any provision of these Terms of Use is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from the remaining provisions, which shall continue in full force and effect.

‍15. Entire Agreement:
‍These Terms of Use, together with CILAR's Privacy Policy, constitute the entire agreement between you and CILAR regarding your use of cilar.ca and supersede any prior agreements or understandings, whether written or oral, relating to the same subject matter.
